Formation of a Company Limited by Guarantee – NUHS FUND LIMITED
It has been a long way since National University Hospital (‘NUH’) set up its charity fund i.e. the NUH Patientcare Charity Fund (‘NUH PCF’) in 1986. The objective of this fund is to promote medical and health-related services for the benefit of the Singapore community.
The NUH PCF is a registered charity and holds the Institution of Public Character (‘IPC’) status. NUH is the trustee of NUH PCF and holds bequests, demises, cash and other donations received or to be received by the fund.
In October 2011, the Board of Trustees for NUH PCF approved the setting up of a Company Limited by Guarantee (‘CLG’) under the Companies Act, Cap 50 to better manage and administer the activities of the abovementioned fund. The purpose of incorporating this new CLG is to echo the calls from the authorities, donors and general public on good corporate governance. At the same time, it will also allow us to manage and administer our fundraising and disbursement activities in a more transparent manner in achieving our objective to support better clinical care, medical education and research.
Following the above, a CLG named NUHS FUND LIMITED was incorporated on 14 February 2012. Immediately thereafter, applications have been lodged for registered charity and IPC status. Approvals for both applications were obtained on 14 May 2012.
We shall dissolve the NUH PCF and transfer all of its fund balance to NUHS FUND LIMITED. These funds will be ring-fenced in the NUHS FUND LIMITED to continue to be used in accordance with the original intent of donors of NUH PCF.
